Terms of Service

These Terms of Service ("Terms") govern your use of the outbound.md service ("Service"), operated by Stormlight Studio LLC ("we," "us," "our"), a United States limited liability company. By purchasing the Service, you ("Client," "you") agree to these Terms.

1. The Service

outbound.md is a done-for-you LinkedIn outbound service. Subject to these Terms, we will: conduct an ideal-customer-profile (ICP) kickoff interview; build and maintain an AI-scored lead list with monthly top-ups; set up outreach campaigns on your LinkedIn account via a third-party outreach platform; write connection and message sequences for your approval; and launch, monitor, and optimize those campaigns, with a monthly performance recap.

The Service does not include reply handling. You respond to replies in your own LinkedIn inbox. It also does not include the third-party outreach platform subscription (currently HeyReach, approximately $79/month, billed to you directly by the platform) or any LinkedIn subscription products.

2. Fees, billing, and minimum term

• The Service is billed at $600 per month, charged via Stripe as a recurring monthly subscription.
• The Service carries a 3-month minimum commitment. By subscribing, you agree to pay for at least three monthly billing cycles. The minimum term is a contractual commitment between you and Stormlight Studio LLC; it is not technically enforced by the payment processor.
• After the third billing cycle, the subscription continues month-to-month. You may cancel at any time after the minimum term, effective at the end of the current billing cycle.
• Fees are non-refundable except as described in the Performance Promise below or as required by law.

3. Performance promise

If you receive zero qualified replies within the first 60 days following campaign launch, your third month of Service is free. "Qualified reply" means a reply from a prospect on your approved lead list expressing interest, a question, or willingness to continue the conversation, as distinct from automated responses, declines, or unsubscribes. This promise applies once per Client, requires that you have completed the kickoff interview, granted platform access, and approved campaign copy without unreasonable delay, and is our sole performance commitment.

Beyond this promise, we do not guarantee any specific business results, including but not limited to reply rates, meetings booked, or revenue.

4. Your responsibilities

• Complete a kickoff interview, provide platform access, and review/approve campaign copy in a timely manner.
• Respond to replies received in your LinkedIn inbox; we do not respond on your behalf.
• Maintain your LinkedIn account in good standing. You are responsible for your account's compliance with LinkedIn's Terms of Service and any consequences arising from LinkedIn's enforcement actions. We operate at conservative, human-like sending volumes, but you acknowledge that automated outreach may be contrary to LinkedIn's Terms of Service and that LinkedIn may restrict accounts at its discretion.
• Ensure that information you provide to us (about your business, customers, and targeting) is accurate and lawfully shared.

5. Intellectual property and deliverables

Upon payment, you own the deliverables we create for you: lead lists, sequence copy, and campaign configurations. You retain them after cancellation. We retain ownership of our underlying methods, tooling, scoring systems, and know-how.

6. Data handling

We process publicly available professional profile data to build lead lists, and campaign performance data to manage the Service. See our Privacy Policy for details.

7. Confidentiality

Each party will keep the other's non-public business information confidential and use it only to perform under these Terms. We may describe anonymized, aggregate results of your campaigns (with no client name or identifying details) unless you ask us not to in writing.

8. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ACTIONS TAKEN BY LINKEDIN OR ANY THIRD-PARTY PLATFORM WITH RESPECT TO YOUR ACCOUNTS.

9. Termination

Either party may terminate for material breach if the breach is not cured within 14 days of written notice. We may suspend or terminate the Service if your account is used unlawfully or your payment fails. Sections 5–8 and 10 survive termination. Termination does not relieve you of fees owed under the minimum term, except where we terminate without cause.

10. General

These Terms are governed by the laws of the United States and the state in which Stormlight Studio LLC is organized, without regard to conflict-of-law rules. These Terms are the entire agreement regarding the Service and supersede prior discussions. We may update these Terms prospectively; material changes will be communicated by email. If any provision is unenforceable, the remainder stays in effect.
